Non Exclusive License
THIS LICENSE is designed to protect the rights of our property while allowing you affordable, hassle-free usage. Here is a summary of the License in plain terms. It covers usage of vocals, samples, loops, sound effects, production music or any combination of these items (which will collectively be referred to as the “Materials”). The full Agreement follows this summary:
UPON a Non Exclusive purchase this agreement serves as a legally binding contract between O Face Productions (“Licensor”) and YOU (“Licensee”). This agreement grants the Licensee non-exclusive rights to the Materials purchased (“Materials”).
Master Recording
The Licensor hereby grants the Licensee the right to record vocal and/or instrumental synchronization to any or all parts of the Materials. The Licensee understands that their non-exclusive usage of the Materials is limited to one new composition and if the Licensee wishes to use the Materials in other new compositions, then the Licensee must obtain another license or permission to use the Materials from the Licensor. The Licensee also agrees to refrain from editing the Materials that is being licensed in this agreement, by changing the arrangement of the Materials or by removing any vocals melodies, instruments, drum programming or sounds that are contained within the Materials.
Profitable Distribution
The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of five thousand (5000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media except *broadcast use. With one year from date the leased Materials were purchased to distribute until having to renew this lease agreement.
Ownership
The Licensor maintains 100% full rights (copyright and ownership) of the Materials and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Materials whether in whole or part to any other party. In the event another individual purchases exclusive rights to your licensed Materials you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled (1 year from date of sale).
Credit
The Licensee must give production credit to the Licensor for any and all distributed material. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover. The Licensor reserves the right to keep an audio signature at the beginning of all non-exclusive Materials.
Broadcast Usage
Written consent is required if the Materials are to be used for Radio Broadcast, Commercial Advertisement, Television Broadcast, Video Games, Internet, On-hold & In House Background Music, or film Soundtracks. Download this CueSheet or one can be found at www.ofaceproductions.net/cuesheet for your convienence to fill out and email/send to O Face Productions (info@ofaceproductions.net) for submission to the PRO (Performing Rights Organization i.e. ASCAP or BMI) if you plan to use these Materials for broadcast purposes.
By receiving this contract you automatically agree to the terms stated above and gain non-exclusive rights to the Materials.
